These Terms of Service ("Terms") govern your use of the AI agent services provided by Kolank LLC ("Company," "we," "our," or "us"). By accessing or using our services, you agree to be bound by these Terms.

Kolank provides AI-powered agent services specifically designed for freight brokers. Our services include but are not limited to:

• Multi-channel communication automation
• Load tracking and status updates
• Carrier verification and communication
• Document processing and data entry
• Invoice processing and management
• Load matching and quoting services

User Accounts and Registration

To access our services, you must create an account and provide accurate, complete information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use
• Ensuring your account information remains current and accurate

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You may not:

• Use the services for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems
• Interfere with or disrupt the services or servers
• Use the services to transmit harmful or malicious content
• Reverse engineer or attempt to extract source code
• Resell or redistribute our services without permission

Payment Terms

Our services are provided on a subscription basis. Payment terms include:

• Fees are charged in advance on a recurring basis
• All fees are non-refundable unless otherwise specified
• We reserve the right to change our pricing with 30 days notice
• Failure to pay may result in service suspension or termination
• You are responsible for all taxes associated with your use of the services

Service Availability

While we strive to provide reliable services, we do not guarantee uninterrupted availability. We may:

• Perform scheduled maintenance that may temporarily affect service
• Experience unexpected downtime due to technical issues
• Modify or discontinue features with reasonable notice
• Suspend services for security or legal reasons

Intellectual Property

The services and all related technology, software, and content are the proprietary property of Kolank LLC. You retain ownership of your data, but grant us the right to use it to provide our services.

You may not copy, modify, distribute, or create derivative works based on our services without explicit written permission.

Data and Privacy

Your privacy is important to us. Our collection and use of your information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

You are responsible for ensuring you have the right to share any data you provide to our services.

Termination

Either party may terminate this agreement at any time. Upon termination:

• Your access to the services will be discontinued
• We will provide reasonable assistance in data export
• Outstanding fees remain due and payable
• Certain provisions of these Terms will survive termination

Disclaimers and Limitation of Liability

Our services are provided "as is" without warranties of any kind. We disclaim all warranties, express or implied, including but not limited to merchantability and fitness for a particular purpose.

To the maximum extent permitted by law, our liability is limited to the amount you paid for the services in the 12 months preceding the claim.

Indemnification

You agree to indemnify and hold harmless Kolank LLC from any claims, damages, or expenses arising from your use of the services or violation of these Terms.

Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes and your continued use constitutes acceptance of the modified Terms.
